1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Clear Cortex platform, websites, and related services (collectively, the "Service") provided by Clear Cortex Ltd, a company registered in England and Wales (Company No: 16704365) ("Clear Cortex", "we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. The Service
Clear Cortex provides an AI-powered canvas platform that lets users connect chat, image generation, file, datastore, and output nodes on an infinite canvas to build and run AI workflows. We may add, change, or remove features at any time, and we may impose usage limits or suspend features for operational, legal, or security reasons.
3. Accounts and Eligibility
- You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must provide accurate and complete information when creating an account and keep it up to date.
- You must notify us promptly of any unauthorised use of your account or any other breach of security.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights, including intellectual property and privacy rights;
- Generate, upload, or distribute content that is unlawful, harmful, defamatory, fraudulent, or infringing;
- Attempt to gain unauthorised access to the Service, other accounts, or our systems, or interfere with their operation;
- Reverse engineer, scrape, or resell the Service except as permitted by law;
- Use the Service to develop a competing product, or to train machine learning models that compete with us;
- Circumvent usage limits, billing, or any access controls.
We may investigate and suspend or terminate access for conduct that we reasonably believe violates these Terms.
5. Your Content
You retain all ownership rights in the content you create, upload, or generate using the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, and display Your Content solely to operate, secure, and improve the Service and to provide it to you.
You are solely responsible for Your Content and for ensuring you have all necessary rights to use it with the Service. We do not claim ownership of Your Content and we do not sell it.
6. AI-Generated Output
The Service uses third-party AI model providers (including Anthropic, OpenAI, and Google) to generate text, images, and other output. AI output may be inaccurate, incomplete, or inappropriate, and may be similar to output generated for other users. You are responsible for reviewing and verifying output before relying on or distributing it. The Service is not a substitute for professional advice (including legal, financial, or medical advice).
7. Third-Party Services
The Service integrates with third-party providers for authentication, AI models, payments, analytics, communications, and hosting. Your use of those integrations may be subject to the relevant third party's terms. We are not responsible for third-party services and disclaim liability for their acts or omissions.
8. Fees and Billing
- Paid plans and usage-based charges are billed through our payment processor (Stripe) in accordance with the pricing presented at the point of purchase.
- Fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes.
- Subscriptions renew automatically until cancelled. You may cancel at any time, effective at the end of the current billing period.
- Except where required by law, fees are non-refundable.
9. Intellectual Property
The Service, including its software, design, and trademarks, is owned by Clear Cortex or its licensors and is protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding. We reserve all rights not expressly granted to you.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
11. Limitation of Liability
To the maximum extent permitted by law, Clear Cortex will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) GBP 50. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable law.
12. Indemnity
You agree to indemnify and hold harmless Clear Cortex and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your breach of these Terms or applicable law.
13. Suspension and Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends, and we may delete Your Content in accordance with our Privacy Policy.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or a prominent notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
